Terms & Conditions

These Terms govern your use of the Nexus ToolPal website and provide a general framework for product enquiries, quotations, samples, OEM/ODM projects and business transactions.

Important: This website provides general commercial information. A signed sales contract, proforma invoice, purchase order acknowledgement, specification sheet or other written agreement may contain project-specific terms. If there is a conflict, the later mutually accepted written agreement will control for that transaction.

1. Acceptance of These Terms

By accessing or using this website, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, please discontinue use of the website.

If you use this website on behalf of a company or other organization, you confirm that you are authorized to act for that organization.

2. Permitted Website Use

You may use this website to learn about our hand tools, hardware supply capabilities and OEM/ODM services, and to submit legitimate business enquiries.

You must not misuse the website, attempt unauthorized access, interfere with its operation, introduce malicious code, scrape protected content at excessive scale, impersonate another party, or submit false or unlawful requests.

3. Product Information

Product descriptions, photographs, drawings, dimensions, materials, packaging examples and other website content are provided for general reference. We work to keep information useful and accurate, but specifications may be updated and visual appearance can vary due to production tolerances, screen display, lighting or customization.

Buyers are responsible for confirming the final specification, intended application, target-market requirements and acceptance criteria before placing an order. Website content alone does not constitute a binding product warranty or offer.

4. Enquiries, Quotations & Samples

Quotations

Quotations are prepared according to the information supplied by the buyer, including product specification, quantity, customization, packaging, destination and delivery requirements. Unless stated otherwise, a quotation is non-binding until accepted through a mutually confirmed order document.

MOQ and validity

Minimum order quantities, pricing and quotation validity vary by product and project. They will be stated in the relevant quotation or confirmed in writing.

Samples

Sample availability, charges, tooling costs, customization fees and freight are assessed per project. A sample is for evaluation and may not represent every characteristic of a later production batch unless the approved sample is expressly identified as the production reference.

5. OEM, ODM & Custom Branding

Custom projects may include logo marking, colors, handles, packaging, labels, barcodes, manuals, tool-set combinations and specification adjustments. Feasibility, MOQ, development cost and lead time depend on the requested design and production method.

  • The buyer must provide complete, accurate and usable artwork, specifications and compliance requirements.
  • Production begins only after the required files, samples, specifications and commercial terms are approved.
  • Changes requested after approval may affect price, tooling, MOQ and lead time.
  • We may decline designs that appear unlawful, unsafe or likely to infringe third-party rights.

6. Orders, Confirmation & Payment

An order becomes binding only after the parties confirm the applicable commercial documents and any required payment is received. Relevant documents may include a purchase order, proforma invoice, sales contract, approved specification, artwork or sample.

Payment method, currency, deposit or balance schedule, bank charges and credit terms are determined for each transaction. Buyers should remit funds only to account details confirmed through official Nexus ToolPal communications and promptly verify any unexpected request to change payment instructions.

Cancellation or modification after confirmation is subject to written agreement and may involve costs already incurred for materials, tooling, packaging, production or logistics.

7. Lead Time, Delivery & Transfer of Risk

Estimated lead time begins after all required approvals, materials and payments are received. Dates are estimates unless expressly guaranteed in a signed agreement. Delays may result from specification changes, material availability, inspections, logistics, customs, force majeure or other circumstances outside reasonable control.

Shipping term, freight responsibility, insurance, title and transfer of risk will follow the Incoterm or other delivery terms stated in the confirmed order documents. The buyer is responsible for import permits, duties, taxes and destination-market compliance unless otherwise agreed in writing.

8. Inspection, Quality & Claims

Quality requirements and inspection criteria should be agreed before production. Inspection scope may include dimensions, function, appearance, quantity, marking and packaging according to the confirmed specification.

The buyer should inspect goods promptly after receipt and notify us in writing of any alleged shortage, damage or non-conformity within the period stated in the transaction documents. A claim should include the order reference, item, quantity affected, photographs or video where appropriate, and other evidence reasonably needed for review.

Available remedies are determined after investigation and may include correction, replacement, credit or another mutually agreed solution. Damage caused by improper storage, misuse, unauthorized modification, normal wear or use outside the agreed application is not treated as a manufacturing non-conformity.

9. Intellectual Property & Confidentiality

Website content, including text, graphics, logos, layout and original materials, is owned by or licensed to Nexus ToolPal and may not be copied, republished or commercially exploited without permission.

The buyer represents that it has the right to use and supply all logos, trademarks, artwork, designs and technical files provided for a custom project. The buyer remains responsible for third-party intellectual-property claims arising from buyer-supplied materials.

Project information identified as confidential will be handled with reasonable care. If specific confidentiality obligations are required, the parties should execute a separate written non-disclosure agreement.

10. Disclaimers & Limitation of Liability

The website is provided on an “as available” basis. To the extent permitted by applicable law, we do not guarantee uninterrupted access or that every website statement will be error-free or continuously current.

Liability relating to a specific sale is governed by the applicable confirmed transaction documents and mandatory law. To the extent legally permitted, neither party will be liable for indirect, incidental, special or consequential loss, including lost profits or business interruption, arising from website use or a transaction.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

11. Force Majeure, Governing Terms & Updates

A party is not responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, epidemic, government restrictions, labor disruption, utility failure, transport interruption or material shortages, provided reasonable notice and mitigation efforts are made where practicable.

The governing law, dispute-resolution method and venue for an individual transaction should be stated in the applicable sales contract or confirmed order documents. If they are not stated, the parties should first attempt to resolve the matter through good-faith commercial discussion.

We may update these website Terms periodically. The revised version becomes effective when posted with a new “Last updated” date. Changes do not retroactively replace terms already confirmed for an existing order unless mutually agreed.
